Please read these Terms of Use ("Terms", "Terms of Use") carefully before accessing LP Portal of http://www.cmventure.netwebsite operated by CM Venture Capital. ("us", "we", or "our").
在访问由上海遨问创业投资管理有限公司（“遨问创投”，“我们”，“我们”或“我们的”）运营的http://www.cmventure.net网站的LP门户网站之前，请仔细阅读这些使用条款（“条款”，“使用条款”）。
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the LP Portal.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the CM Venture Capital LP Portal. 访问或使用本服务即表示您同意遵守这些条款。如果您不同意这些条款的任何部分，那么您可能无法访问CM Venture Capital LP门户网站。
Access访问
You may only access CM Venture Capital website LP Portal as an authorized member of Limited Partner of China Materialia Venture Capital Fund II L.L.P.
You should notify us immediately when you are no longer an authorized member of Limited Partner of China Materialia Venture Capital Fund II L.L.P., and you shall immediately return or destroy information obtained from LP Portal of the website.
您只能作为上海遨问创投乙期创业投资合伙企业（有限合伙）（“遨问乙期”）基金的有限合伙人的授权会员访问CM Venture Capital网站LP Portal。当您不再是遨问乙期的有限合伙人的授权会员时，您应立即通知我们，并立即退回或销毁从该网站的LP门户获取的信息。
Proprietary Information and Confidentiality 专有信息和机密性
Any information posted on this LP Portal is considered as CM Venture Partner’s proprietary information and covered by confidentiality Clause 15.2 contained in <China Materialia Venture Capital Fund II L.L.P. Limited Partnership Agreement>, re-stated below:
本LP门户网站上发布的任何信息均被视为遨问乙期的专有信息，并且受遨问乙期合伙协议中的保密条款第15.2条保护，重申如下：
“Each Partner shall keep confidential any information, including any trade secrets that it receives from another Partner as a result of the negotiation, execution and performance of this Agreement. Each Limited Partnershall keep confidential any commercial, legal, financial and other information of the Partnership and General Partner, the Portfolio Investments and Portfolio Companies that they may become aware of through reports, Partners Meetings and other means as a result of being a Limited Partner in connection with the activities of the Partnership. No Limited Partner shall disclose such confidential information to any third party (other than advisors or representatives of such Limited Partner) or the public without prior written consent of the General Partner or make profit from such confidential information (other than as a result of being a Limited Partner of the Partnership). Such confidentiality obligation shall remain in force for 5 years after the termination of this Agreement or the dissolution of the Partnership. Notwithstanding the foregoing, a Limited Partner may disclose such confidential Information either (i) to the extent compelled to do so in accordance with applicable law (in which case the Limited Partner shall promptly notify the General Partner of its obligation to disclose any confidential information), (ii) in connection with any litigation, arbitration or other proceeding against the Partnership, any Partner or any person indemnified by the Partnership or (iii) which has become publicly available other than through breach of this provision by a Limited Partner or a Limited Partner’s advisors.”
各合伙人应对任何信息保密，包括其因协商、签署及执行本协议而从其他合伙人处了解的商业秘密。有限合伙人应对其通过报告、合伙人会议及其作为有限合伙人通过与合伙企业的活动相关的其他方式所了解到的合伙企业及普通合伙人、项目投资和被投资公司的商业、法律、财务等信息保密，未经普通合伙人事先书面许可，不得向任何第三人（该等有限合伙人的顾问或代表除外）或公众泄露该等保密信息，也不得从中牟利（因其作为合伙企业的有限合伙人而获利除外）。前述保密义务在本协议终止或合伙企业解散后5年内仍然有效。尽管有前述规定，有限合伙人可以在下述情形下披露保密信息：（i）为遵守适用法律的需要而被迫披露（在该等情况下有限合伙人应及时通知普通合伙人其披露保密信息的义务），（ii）在与任何针对合伙企业、任何合伙人或合伙企业需对其进行补偿的任何人士的诉讼、仲裁或其他程序有关的情况下，或（iii）该等保密信息已被公众所知，且这种情况并非是由于有限合伙人或其顾问违反本条规定造成的。
Any breach or threatened breach of this confidentiality clause entitles CM Venture Partner to seek injunctive relief, in addition to any other legal or equitable remedies available to it, in any court of competent jurisdiction.
任何违反或可能违反此保密条款的行为都使遨问创投有权在任何具有司法管辖权的法院寻求禁令救济，以及其可获得的任何其他法律或衡平法补救措施。
Termination 终止
We may terminate or suspend access to LP Portal immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation confidentiality clause.
我们可以出于任何原因，包括但不限于您违反本条款，立即终止或暂停访问LP Portal，恕不另行通知或承担任何责任。本条款的所有条款本质上应在终止后继续有效，包括但不限于保密条款。
Changes 变化
We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
我们保留自行决定随时修改或替换这些条款的权利
